When is a Mudhaarabah agreement conculded and binding on both partiesOnce the agreement has been signed by both parties or when the investment is provided by the Rabbul Maal or at any other time?

And Can a Mudhaarabah contract be terminated at any time before the date of termination by 1 of the parties?

اَلجَوَابْ بِاسْمِ مُلْہِمِ الصَّوَابْ

It should be noted that a Mudhaarabah contract becomes concluded through offer and acceptance. But it is a non-binding (ghair lazim) contract. This means either party has the right to end it at any time, whether the capital has been handed over to the Mudhaarib or not.

However, if a fixed time period is agreed upon in the Mudhaarabah contract, stating that neither party can terminate the contract during this period, then such a condition appears to be against the basic rules of Mudhaarabah, and therefore not valid because Mudhaarabah is a non-binding contract, and either party should be allowed to end it anytime.

But in modern day business, projects are often large-scale and need time to grow and succeed. If either party can end the Mudhaarabah at any time, it could cause serious harm to the business.
So, due to this practical need, if both parties agree to fix a time during which neither can unilaterally terminate the contract, this condition will be considered acceptable and valid.

«درر الحكام في شرح مجلة الأحكام» (3/ 426):

«المادة (1405) - (ركن المضاربة الإيجاب والقبول، مثلا إذا قال رب المال للمضارب: خذ رأس المال هذا مضاربة واسع واعمل على أن يقسم ربحه بيننا مناصفة أو ثلثين وثلثا. أو قال قولا يفيد معنى المضاربة كقوله: خذ هذه النقود واجعلها رأس مال والربح مشترك بيننا على نسبة كذا، وقبل المضارب، تنعقد المضاربة)»

المعاییر الشرعیۃ:المضاربۃ

٣/٤ الأصل أن عقد المضاربة غير لازم، ويحق لأي من الطرفين فسخه إلا في حالتين لا يثبت فيهما حق الفسخ:

١/٣/٤ إذا شرع المضارب في العمل، فتصبح المضاربة لازمة إلى حين التنضيض الحقيقي أو الحكمي.

٢/٣/٤ إذا اتفق الطرفان على تأقيت المضاربة، فلا يحق إنهاؤها قبل ذلك الوقت إلا باتفاق الطرفين.
